SpendPal — Terms of Service

These Terms of Service ("Terms") govern your use of the SpendPal mobile application (the "App") and the website at https://spendpal.ai (the "Site"), together the "Service". The Service is operated by Alexandru Irimia, an individual developer based in the United Arab Emirates ("SpendPal", "we", "our", or "us").

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the Service.

1. License to Use the App

We grant you a personal, non-exclusive, non-transferable, revocable licence to download and use the App on Apple devices you own or control, solely for your own personal, non-commercial use, subject to these Terms and Apple's Licensed Application End User Licence Agreement.

You may not:

• Copy, modify, reverse-engineer, decompile, or attempt to extract the App's source code, except where the law expressly permits.
• Distribute, sublicence, rent, lease, sell, or otherwise transfer the App or the licence to it.
• Use the App in any way that violates applicable law or these Terms.
• Use the App to build a competing product or service.

2. Your Data

You retain ownership of the data you enter into the App (expenses, receipts you scan, notes, settings). The App is designed to keep that data on your device and (if you have iCloud enabled) in your private iCloud account. We do not assert any ownership over your data.

How we handle the small amount of data we do process is described in our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for the accuracy of the data you enter. SpendPal is a tracking tool, not financial advice (Section 7).

3. In-App Purchases and Subscriptions

3.1 Free scans

Without a subscription, the App includes a monthly allowance of receipt scans at no charge. The allowance resets at the start of each calendar month (UTC); unused scans do not carry over. The current allowance is shown in the App and is 5 scans per month.

We may change the free allowance. If we reduce it, we will do so prospectively and show the new figure in the App before it applies to you.

Scan allowances are counted on our servers against an anonymous identifier for your installation. They are not stored on your device and cannot be transferred, sold, or restored to another device or Apple ID.

3.2 Subscriptions

If you subscribe to SpendPal Pro:

• The subscription auto-renews at the end of each billing period (typically monthly or yearly) at the then-current price until you cancel.
• You can manage and cancel your subscription at any time in iOS Settings → [your name] → Subscriptions, or via the App's Subscriptions screen which deep-links into iOS Settings.
• Cancellation takes effect at the end of the current billing period; you retain Pro features until then. No partial refunds are issued for unused time.

Fair use. A Pro subscription has no scan allowance to run out of, and the App shows you no counter. To protect the service against automated abuse, compromised accounts, and credential sharing, it is nonetheless subject to a fair-use ceiling of 1,000 scans per calendar month, counted per installation and reset at the start of each calendar month (UTC).

This figure is set far above any realistic personal use — a household scanning every receipt it receives will not approach it — and we do not expect any genuine subscriber to reach it. If you do, scanning pauses until the next calendar month and the App will tell you so; please contact us at the address in Section 16 and we will look into it.

We may raise this ceiling at any time. We will not lower it without notifying subscribers in advance.

3.3 Payment and refunds

All payments are processed by Apple. SpendPal does not see or store your payment details. Refund requests must be made to Apple via reportaproblem.apple.com; we cannot issue refunds directly.

3.4 Pricing

We may change the price of subscriptions at any time. Existing subscribers will be notified of price increases as required by Apple and applicable law before the change takes effect; you can cancel before the new price applies.

3.5 Restore Purchases

If you reinstall the App or move to a new device, use the "Restore Purchases" button (in Settings → Subscription) to restore your subscription. Your free monthly allowance is counted per installation and resets each calendar month, so there is nothing to restore.

4. AI Scanning Feature

The receipt scanning feature uses Google's Gemini API (via the Firebase AI Logic SDK) to extract structured data from images and PDFs you choose to scan.

• The scan results are produced by an automated AI system and may contain errors. You are responsible for reviewing scan results before saving them. The App provides an editable review screen for exactly this purpose.
• Each successful scan counts against your monthly free allowance (Section 3.1) or, for subscribers, against the Pro fair-use ceiling (Section 3.2).
• Failed scans (network error, multi-vendor document, page-cap exceeded, multiple receipts in one image) do not count against either.
• Scanning requires an internet connection. Entering expenses manually or by Quick Entry does not, and is not limited in any way.
• We do not guarantee any specific accuracy level for AI-generated results.

5. Acceptable Use

You may not:

• Use the Service for any unlawful purpose or in violation of any applicable law (including tax, accounting, or money-laundering laws of your jurisdiction).
• Submit content to the AI scanning feature that you do not have the right to scan (e.g. other people's receipts without their permission).
• Attempt to disrupt, overload, or compromise the App, its backend services (Firebase / Google), or any other user's access.
• Probe for vulnerabilities except via good-faith security research disclosed to us promptly at support@spendpal.ai.
• Build automated tools that abuse the scan endpoint, the scan allowance, or sync, or attempt to circumvent the allowance or fair-use ceiling by any means.
• Misrepresent your identity or use the Service on behalf of someone else without authority.

We may suspend or terminate your access to remote features (such as AI scanning) for abuse, without notice or refund. Where we do so for a specific installation rather than an account, scanning will stop working and the App will say so; manual entry and your existing data are unaffected. If you believe a suspension is mistaken, contact us at the address in Section 16.

6. Third-Party Services

The App relies on services provided by Apple (App Store, iCloud, StoreKit, Apple Intelligence) and Google (Firebase Authentication, Firestore, Cloud Functions, the Gemini API). Your use of those services is also governed by their respective terms:

We are not responsible for the availability or behaviour of these third-party services, but we'll do our best to choose providers that respect users' interests.

7. No Financial Advice

SpendPal is a personal-finance tracking and analysis tool. Insights, suggestions, comparisons, and AI chat responses generated by the App are for informational purposes only and do not constitute financial, investment, tax, legal, or accounting advice. Always consult a qualified professional for decisions that have a material financial, legal, or tax impact.

You are responsible for your own financial decisions, recordkeeping, and tax compliance.

8. Intellectual Property

The App, the Site, the SpendPal name and logo, and all related materials are owned by Alexandru Irimia (or licensed to us) and are protected by intellectual-property laws. Nothing in these Terms transfers ownership of any of that to you.

User-generated content you enter into the App (your expenses, notes, etc.) remains yours; Section 2 covers this.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING (TO THE FULLEST EXTENT PERMITTED BY LAW) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED RESULTS.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that the AI scan output will be accurate, or that the Service will meet your specific requirements.

Some jurisdictions do not allow disclaimers of implied warranties; in those jurisdictions the disclaimer above applies to the maximum extent permitted by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDPAL'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD 50.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limits apply to the maximum extent permitted by law. Some jurisdictions do not allow limits on certain kinds of liability; in those, our liability is limited to the smallest amount permitted.

11. Indemnification

You agree to indemnify and hold harmless SpendPal and Alexandru Irimia from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any third party's rights.

12. Termination

You may stop using the App at any time by uninstalling it. You can delete locally stored data by uninstalling, and iCloud-stored data via iOS Settings → [your name] → iCloud → Manage Account Storage → SpendPal.

We may suspend or terminate your access to the Service (in whole or in part) at any time for breach of these Terms, suspected abuse, legal requirement, or discontinuation of the Service. Termination does not entitle you to a refund of any prepaid amounts except as required by Apple or applicable law.

Sections 2 (Your Data — re: ownership), 7 (No Financial Advice), 8 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Miscellaneous) survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in the Emirate of Dubai, and you consent to the personal jurisdiction of those courts.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer-protection rights, those mandatory rights are unaffected by this section.

14. Miscellaneous

• Entire agreement. These Terms (and the Privacy Policy) are the entire agreement between you and SpendPal regarding the Service and supersede any prior agreements.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms or any rights under them without our written consent. We may assign these Terms to a successor entity (for example, if we incorporate or are acquired).
• Apple-specific clause. You acknowledge that (a) these Terms are between you and us, not Apple, and Apple has no obligation to provide maintenance or support; (b) Apple is a third-party beneficiary of these Terms and may enforce them against you; (c) in the event of a third-party claim that the App infringes intellectual-property rights, we are solely responsible for investigation, defence, settlement, and discharge of the claim.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, surface a notice inside the App on next launch. Continued use of the Service after the update constitutes acceptance of the revised Terms.
